NATURE OF PRACTICE

Herring & Herring is a broad-based law firm offering a variety of services and expertise. The firm handles civil matters, such as the representation of clients involved in legal disputes and furnishes advice and counseling on business, real estate, personal transactions, securities, insurance and bankruptcy.

In the area of insurance matters, the firm represents a significant number of insurance companies in both the defense of claims, coverage advice and subrogation cases. Our firm is listed in the current editions of Best's Directory of Recommended Insurance Attorneys and Hine's Insurance Counsel.

A large part of the firm's practice involves handling business, corporate and real estate transactional matters. We have assisted numerous businesses, both proprietary and nonprofit, in their planning and formation stages, and advised them in determining the most appropriate business organization and structuring. We have also formed corporations, general and limited partnerships, real estate trusts and joint ownership arrangements. We have represented developers, contractors, lenders, brokers, appraisers, buyers, sellers and attorneys in all aspects of real estate transactions, including development and investment matters, ranging in size from multi-million dollar shopping centers and industrial parks to the sale or purchase of a family home. The firm has assisted in the development of property and business in Mexico and the structuring of maquiladoras.

We have also represented clients in various forums including administrative proceedings, state and federal courts, bankruptcy court, and congressional hearings.

The firm represents creditors in obtaining relief from the automatic stay in bankruptcy court as well as assisting businesses and individuals in reorganizing their af fairs with the assistance of the bankruptcy laws.

We are particularly proud of the fact that the majority of our clients have had long-term relationships with the law firm. Because of those relationships, we are continuously assisting in the ongoing problems of business management such as employee relations, structuring complex transactions, governmental regulations, contracts and insurance matters. We also are called upon to assist our clients in estate planning matters such as drafting wills and trusts.

Some members of the firm have unique backgrounds and experience that allow the firm to offer expertise in specialty areas such as media law, military law, libel and slander cases, political law and campaign regulation problems, and major corporate mergers, acquisitions, dissolutions, divestitures and securities law concerns.

HISTORY OF FIRM

The firm was founded as a result of a merger of two separate law firms in 1990. Prior to the merger, each of the principals maintained a separate private law practice which emphasized a particular specialty. With the merger of the separate practices, the firm is in a unique position to provide a broad range of services to individuals, businesses and the insurance industry. The firm's practice is entirely civil with a focus in the areas (both transactional and litigation) of real estate, business, insurance, securities and bankruptcy law. Clients consist of insurance companies, real estate brokerage firms, thrift and loan companies, escrow companies, real estate appraisers, business brokers, foreclosure companies and companies active in international business operations and activities. For the past several years, the firm has been one of the major defense firms representing insurance carriers who issue real estate errors and omission policies. As a result, the firm has been actively involved in the defense of lawsuits against real estate companies, real estate appraisers and escrow companies.

The firm is listed in the Martindale-Hubbell Law Directory and has an AV rating.

FUTURE DIRECTION OF THE FIRM

The firm was created to meet the needs of the business and insurance community f or superior legal services, reasonably priced. Utilizing the experience and ability of the individual partners to meet the needs of the existing clients, the merger allows the firm to offer a broader range of services while retaining the cost advantages of the smaller firm. The firm is qualified to accept most legal insurance plans.
